These Terms govern your access to and use of the VC Alliance website, membership, events, and services. Please read them carefully. By using the site or applying for membership, you agree to them.
These Terms and Conditions ("Terms") are a binding agreement between you and VC Alliance LLC ("VC Alliance," "VCA," "we," "us," or "our"), a limited liability company based in San Francisco, California. They apply to your use of our website at vcalliance.org and venturecapitalalliance.org (the "Site"), and to our membership community, events, communications, tools, and related services (together, the "Services").
By accessing the Site, submitting any form, joining the community, or otherwise using the Services, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Services.
VC Alliance is an independent membership community, private club, and technology and ecosystem provider. We connect venture capitalists, angel investors, and emerging investors, and we facilitate professional networking, exclusive events, technical solutions and tools, ecosystem research, and warm introductions.
What VC Alliance is not. VC Alliance is an independent platform, private club, and ecosystem provider operating via vcalliance.org and venturecapitalalliance.org. VC Alliance provides technical solutions, research tools, warm introductions, and corporate events. VC Alliance is not a financial institution, does not manage investment capital, does not broker securities, and does not provide investment advice.
Everything we publish or share through the Services, including resources, research, tools, calculators, events, discussions, and introductions, is provided for general informational and educational purposes only. It is not investment advice, legal advice, tax advice, accounting advice, or any other form of professional advice, and must not be relied upon as such.
We are not a registered investment adviser, broker-dealer, or financial institution, and nothing in the Services should be interpreted as a recommendation to buy, sell, or hold any security or to make any particular investment or business decision. You are solely responsible for your own decisions, and you should consult qualified professional advisers before acting.
VC Alliance does not solicit, offer, sell, broker, or facilitate the purchase or sale of any securities, and does not raise, pool, hold, or manage capital on behalf of any person. Any introduction, conversation, room, syndicate reference, or networking opportunity made available through the Services is provided solely to help members get to know one another. It is not an offer or solicitation of any security or investment, and it does not constitute a recommendation or endorsement of any person, company, fund, or opportunity.
Any investment, co-investment, or business arrangement that members may choose to pursue with one another is strictly between those members. VC Alliance is not a party to, and bears no responsibility for, any such arrangement.
To use the Services you must be at least 18 years old and able to form a binding contract. Membership is offered at our discretion and may require an application and review. We may accept, decline, or revoke membership for any lawful reason, and membership is personal to you and may not be transferred or shared.
Acceptance into the community does not guarantee any particular outcome, introduction, deal, return, or result. Membership is a connection and access benefit, not a promise of financial gain.
When you apply or sign up, you agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

We may investigate and take appropriate action, including removing content and suspending or terminating membership, for any conduct we believe violates these Terms or harms the community.
A core benefit of VC Alliance is facilitating warm introductions and connections among members. We may suggest, request, or pass along introductions, but we do not vet, verify, guarantee, or stand behind any member, company, statement, or opportunity. Any due diligence is your own responsibility. We are not responsible for the conduct, representations, or outcomes of any introduction or relationship formed through the Services.
We host and promote private mixers, gatherings, and corporate events. Attendance may be subject to additional rules, capacity limits, codes of conduct, ticket terms, and eligibility requirements. We may record events and may modify, reschedule, or cancel any event. Tickets and event fees are non-refundable unless stated otherwise. By attending, you consent to reasonable event rules and to the capture of photography or recordings in which you may appear.
Some parts of the Services may be free and others may require a membership fee, event fee, or other charge. Where fees apply, they will be disclosed to you before you incur them. Unless stated otherwise, fees are quoted in U.S. dollars, are exclusive of applicable taxes, and are non-refundable. We may change our fees on a going-forward basis with reasonable notice.
The Site and Services, including their design, text, graphics, logos, the names "VC Alliance" and "VCA," research, tools, and other content we provide, are owned by VC Alliance LLC or our licensors and are protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any part of the Services without our prior written consent.
When you submit information, applications, content, or other materials through the Services ("Submissions"), you represent that you have the right to do so and that your Submissions are accurate and lawful. You retain ownership of your Submissions, and you grant VC Alliance a worldwide, royalty-free license to use, store, reproduce, and process them as needed to operate and improve the Services and the community, consistent with our Privacy Policy.
The Services rely on and link to third-party tools and platforms, which may include hosting, email and newsletter providers, form and database providers, and analytics. We do not control these third parties and are not responsible for their content, products, practices, or availability. Your use of a third-party service is governed by that party's own terms and privacy policy.
The community may give you access to non-public information about other members, companies, deals, and opportunities. You agree to treat such information as confidential, to use it only for the purposes for which it was shared, and not to disclose it to anyone outside the community without the consent of the person to whom it belongs. This obligation survives the end of your membership.
The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, error-free, or that any information will be accurate, complete, or current. To the maximum extent permitted by law, we disclaim all such warranties.
To the maximum extent permitted by law, VC Alliance LLC and its members, managers, officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or investment losses, arising out of or relating to your use of the Services, any introduction or relationship formed through the Services, or any investment or business decision, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Services will not exceed the greater of (a) the amount you paid us, if any, in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).
You agree to indemnify, defend, and hold harmless VC Alliance LLC and its members, managers, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the Services, your Submissions, your conduct in the community, your dealings with other members, or your breach of these Terms or of applicable law.
We may suspend or terminate your access to the Services or your membership at any time, with or without cause and with or without notice. You may stop using the Services at any time. Provisions that by their nature should survive termination, including those on intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law, will survive.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Subject to the arbitration provision below, you agree that the state and federal courts located in San Francisco, California will have exclusive jurisdiction over any dispute that is not subject to arbitration, and you consent to personal jurisdiction and venue there.
We would like to resolve any concern informally first, so please contact us before filing a formal claim. If we cannot resolve a dispute within sixty (60) days, you and VC Alliance agree that any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered in San Francisco, California under the rules of a recognized arbitration body, rather than in court, except that either party may bring an individual claim in small-claims court.
Class action waiver. To the extent permitted by law, disputes will be resolved on an individual basis only, and you and VC Alliance waive any right to participate in a class, collective, or representative action. This section does not apply where prohibited by applicable law.
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Changes are effective when posted. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
